Stubbs Alderton & Markiles, LLP recently advised global semiconductor client Diodes Incorporated on the sale of $375 million of its 0.00% Senior Convertible Notes. The sale of the notes, which mature in 2031, was conducted in an exempt private placement under Rule 144A.
The complex financing began in July 2026 and involved multiple intricate transactions. First, the Notes were sold to numerous large banks, including Bank of America and Citigroup, among others, for resale to Qualified Institutional Buyers. Also in this transaction, SA&M attorneys advised the company in its purchase of $21 million of capped calls and the repurchase of $35 million of its common stock. The transactions required robust documentation, in which SA&M attorneys assisted in the preparation of an Offering Memorandum, a Pricing Term Sheet, an Indenture with form of Global Note, Capped Call Confirmations, Press Releases, Nasdaq and SEC filings, and detailed legal opinions.
